1. Acceptance of these Terms

Welcome to NXT PCS ("NXT PCS," "Company," "We," "Us," or "Our").

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NXT PCS governing your access to and use of the NXT PCS website, applications, software, artificial intelligence tools, community features, content, and all related products and services (collectively, the "Services").

By clicking “I Agree” (or a substantially similar acceptance button or checkbox), creating an account, purchasing a token or credit, or otherwise using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines that may be incorporated by reference.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

These Terms apply whether you access the Services as a free-tier user, Premier user, or visitor.

NXT PCS is an independent company and is not affiliated with the U.S. Department of Defense, the Department of Veterans Affairs, or any other governmental agency.

2. Description of the Services

NXT PCS is an artificial intelligence-powered career transition platform designed primarily to assist current and former members of the United States Armed Forces as they transition into civilian employment.

Depending upon whether you use the free tier of the Services or have Premier access, and the features available at the time of use, the Services may include, among other things:

AI-assisted resume generation;
AI-generated cover letters;
AI-assisted professional summaries and profiles;
military-to-civilian experience translation;
career recommendations;
employment opportunity discovery;
job search assistance;
document storage and management;
career planning resources;
community features;
educational resources;
Premier access via tokens and credits; and
additional tools, products, and features introduced from time to time.

The Services are continually evolving.

We reserve the right to modify, enhance, discontinue, replace, or introduce new features, functionality, token or credit offerings, artificial intelligence capabilities, or other aspects of the Services at any time, with or without prior notice, subject to applicable law.

Nothing in these Terms guarantees that any particular feature, AI model, Premier benefit, or functionality will remain available indefinitely.

3. Eligibility

The Services are intended solely for individuals who are at least eighteen (18) years of age.

By using the Services, you represent and warrant that:

you are at least eighteen (18) years old;
you have the legal capacity to enter into this agreement;
all information you submit is truthful, accurate, and complete;
you will keep your information current;
you will use the Services only for lawful purposes; and
your use of the Services does not violate any applicable law, regulation, contractual obligation, or third-party rights.

Although NXT PCS is designed primarily for veterans transitioning into civilian careers, certain Services may also be available to transitioning service members, military spouses, or other individuals as determined by NXT PCS.

NXT PCS is intended for users located within the United States, its territories, protectorates, and designated United States military facilities. The Services are not directed to individuals located in jurisdictions where additional legal or regulatory requirements may apply, including the European Economic Area or the United Kingdom.

4. Changes to the Services

NXT PCS continually develops and improves the Services.

Accordingly, we may:

add or remove features;
modify token, credit, or Premier access offerings;
change pricing;
update artificial intelligence models;
improve existing functionality;
discontinue certain Services;
correct errors;
implement security improvements; or
otherwise modify the Services at any time.

We will use commercially reasonable efforts to provide advance notice of material changes when required by applicable law.

We are not liable for any modification, suspension, interruption, or discontinuation of any portion of the Services.

5. Account Registration

Certain portions of the Services require you to create an account.

When registering an account, you agree to provide accurate, current, and complete information.

You are responsible for maintaining the accuracy of your account information throughout your use of the Services.

You may not:

create an account using false information;
impersonate another person or organization;
create an account for someone else without authorization;
transfer or sell your account;
share your login credentials with another individual; or
create multiple accounts to circumvent token, credit, or usage limits or restrictions.

Usernames, account identifiers, tokens, credits, and Premier access are personal to the registered account holder and are not transferable.

NXT PCS reserves the right to reject, suspend, or terminate any account that violates these Terms or that we reasonably believe has been created for fraudulent, abusive, or unlawful purposes.

6. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password.

You are responsible for all activities occurring under your account, whether or not authorized by you.

If you believe your account has been compromised or accessed without authorization, you must notify NXT PCS immediately and promptly update your password or other authentication credentials.

NXT PCS is not responsible for losses resulting from your failure to safeguard your account credentials or from unauthorized access resulting from your negligence.

We reserve the right to require additional authentication measures, suspend access, or temporarily restrict accounts where we reasonably believe doing so is necessary to protect the security or integrity of the Services.

7. Premier Access: Tokens and Credits

NXT PCS offers a free tier of the Services at no cost, as well as Premier access, which is unlocked by purchasing and redeeming a token. Redeeming a token grants twelve (12) months of access to Premier, beginning on the date of redemption. Continued Premier access beyond that period requires the purchase and redemption of a new token. Premier access does not automatically renew.

NXT PCS may also offer credits, which may be redeemed for specific features within Premier.

Features available under the free tier and under Premier are described on the NXT PCS website and may change from time to time. Certain features are available only with Premier access.

NXT PCS reserves the right to modify the features, pricing, usage limits, or eligibility requirements associated with the free tier, tokens, credits, and Premier access at any time, subject to applicable law.

When your Premier access period ends, your account will revert to the free tier. You may regain Premier access at any time by purchasing and redeeming a new token.

8. Billing and Payment

Tokens and credits are purchased through third-party payment processors. By purchasing a token or credit, you authorize NXT PCS and its payment processor to charge your designated payment method for all applicable fees, taxes, and other charges.

Purchasing a token does not immediately grant Premier access. Premier access begins only when the token is redeemed, and continues for twelve (12) months from the date of redemption. Access does not automatically renew; continued access after that period requires the purchase and redemption of a new token. Unredeemed tokens do not expire.

Credits are redeemed when used toward a feature within Premier. Credits do not expire.

All token and credit purchases are final and non-refundable, whether or not the token or credit has been redeemed, except as required by applicable law or as expressly provided by NXT PCS.

NXT PCS reserves the right to change token and credit pricing upon reasonable advance notice. Continued purchase of tokens or credits following the effective date of a pricing change constitutes acceptance of the revised pricing.

9. Future Services

The Services are expected to evolve over time.

NXT PCS may introduce additional features, including artificial intelligence tools, interview preparation tools, career coaching, recruiter services, employer functionality, community forums, messaging capabilities, collaboration features, analytics, integrations with third-party platforms, or other services.

Unless otherwise stated, any new features or Services introduced by NXT PCS will be governed by these Terms.

The introduction or discontinuation of any feature does not create any obligation for NXT PCS to continue offering that feature indefinitely.

10. User Content

The Services allow you to upload, submit, store, generate, organize, and manage documents, information, text, images, and other materials, including resumes, cover letters, military records, evaluations, performance reviews, certifications, employment history, and other content (collectively, "User Content").

You retain ownership of your User Content.

Nothing in these Terms transfers ownership of your User Content to NXT PCS.

By uploading, submitting, or otherwise providing User Content to the Services, you grant NXT PCS a limited, non-exclusive, worldwide, royalty-free, revocable license to host, store, reproduce, transmit, process, analyze, modify, display, and otherwise use your User Content solely as reasonably necessary to:

provide the Services;
generate AI-powered content;
maintain and improve the Services;
provide customer support;
protect the security and integrity of the Services;
comply with applicable law; and
enforce these Terms.

This license automatically terminates when your User Content is deleted from the Services, except to the extent retention is required by law, reasonably necessary to resolve disputes, maintain secure backups, enforce these Terms, or otherwise permitted under our Privacy Policy.

You represent and warrant that:

you own or have all necessary rights to upload your User Content;
your User Content does not violate any law;
your User Content does not infringe another person's intellectual property or privacy rights;
your User Content does not contain classified information, Controlled Unclassified Information (CUI), export-controlled information, or other information that you are not legally authorized to disclose; and
uploading your User Content does not violate any contractual, legal, or fiduciary obligations owed to another person or organization.

11. AI Services

NXT PCS provides artificial intelligence-powered tools designed to assist users in preparing employment-related materials and career resources.

These Services may include, among other things:

resume generation;
resume editing;
military experience translation;
cover letter generation;
professional summaries;
LinkedIn profile assistance;
career recommendations;
skills analysis;
interview preparation;
job search assistance; and
other AI-powered features introduced from time to time.

The AI features available through the Services may evolve over time as technology develops.

NXT PCS may update, replace, improve, discontinue, or otherwise modify the artificial intelligence models or technologies used to provide the Services without prior notice.

Nothing in these Terms guarantees the continued availability of any particular artificial intelligence model, feature, functionality, or output.

12. AI Output

Content generated through the Services ("AI Output") is produced using artificial intelligence based upon information provided by you and other inputs.

AI Output is intended solely as a drafting, educational, and career-assistance tool.

Artificial intelligence is inherently probabilistic and may produce inaccurate, incomplete, misleading, inconsistent, outdated, or otherwise incorrect information.

Accordingly, you acknowledge and agree that:

AI Output may contain factual errors;
AI Output may omit relevant information;
AI Output may not accurately reflect your education, experience, military service, certifications, accomplishments, or qualifications;
AI Output may not reflect current hiring practices or employer preferences;
AI Output may not comply with every employer's application requirements;
AI Output may not be optimized for every Applicant Tracking System (ATS); and
AI Output should not be relied upon without careful human review.

You are solely responsible for reviewing, editing, verifying, and approving all AI Output before:

submitting applications;
sharing documents with employers;
publishing professional profiles;
relying upon recommendations; or
using any AI-generated materials for any purpose.

NXT PCS makes no representation or warranty regarding the accuracy, completeness, usefulness, legality, or suitability of AI Output.

13. Employment Disclaimer

NXT PCS is a technology platform.

NXT PCS is not:

an employment agency;
a staffing agency;
a recruiting firm;
a placement agency;
a career counselor;
a legal advisor;
a financial advisor; or
a governmental agency.

NXT PCS does not recruit employees on behalf of employers.

NXT PCS does not guarantee:

employment;
interviews;
job offers;
promotions;
salary increases;
hiring decisions;
career advancement; or
any particular employment outcome.

Hiring decisions are made exclusively by employers.

Users remain solely responsible for their employment applications, communications with employers, interviews, and career decisions.

14. Job Listings and Third-Party Opportunities

The Services may display, recommend, aggregate, or otherwise provide access to employment opportunities obtained from third-party sources.

NXT PCS does not create, control, endorse, or guarantee:

the accuracy of job listings;
the completeness of job descriptions;
employer hiring practices;
salary information;
application deadlines;
continued availability of positions; or
employer responses.

NXT PCS does not submit employment applications on your behalf unless expressly stated for a particular feature.

You are solely responsible for reviewing job postings, verifying their accuracy, and submitting applications directly to employers unless the Services expressly provide otherwise.

15. Community Features

From time to time, NXT PCS may provide community features that allow users to post content, participate in discussions, share experiences, ask questions, or otherwise interact with other users.

Participation in community features is entirely voluntary.

You remain solely responsible for any content you post.

You agree that your community contributions will not:

violate applicable law;
infringe another person's rights;
contain defamatory, harassing, threatening, hateful, discriminatory, or obscene content;
promote illegal activity;
impersonate another individual or organization;
contain malware or malicious code;
disclose confidential or classified information; or
otherwise interfere with the operation of the Services.

By posting content within community features, you grant NXT PCS a limited, non-exclusive license to host, display, reproduce, distribute, and otherwise make your content available as reasonably necessary to operate the community.

NXT PCS reserves the right, but not the obligation, to remove, edit, restrict, or disable access to community content that violates these Terms or that we reasonably determine is harmful to the Services or other users.

16. Acceptable Use

You agree to use the Services only for lawful purposes.

You agree that you will not:

upload false or misleading information;
impersonate another individual or organization;
upload documents you do not own or have permission to use;
upload classified information, Controlled Unclassified Information (CUI), export-controlled information, or information protected by law;
use the Services to commit fraud or facilitate unlawful activity;
generate fraudulent resumes, employment records, credentials, references, or certifications;
interfere with or disrupt the Services;
introduce viruses, malware, or other harmful code;
attempt to reverse engineer, decompile, scrape, copy, or bypass security measures;
access accounts belonging to another user;
use automated tools to access the Services except as expressly authorized by NXT PCS;
interfere with another user's enjoyment of the Services; or
use the Services in any manner that could damage the reputation or operation of NXT PCS.

Violation of this section may result in immediate suspension or termination of your account.

17. Intellectual Property Rights

Except for User Content, all rights, title, and interest in and to the Services, including all software, source code, artificial intelligence workflows, text, graphics, logos, trademarks, trade dress, designs, user interfaces, databases, compilations, documentation, and other proprietary materials are owned by or licensed to NXT PCS and are protected by applicable intellectual property laws.

Subject to these Terms, NXT PCS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial use.

Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, sell, sublicense, lease, reverse engineer, or otherwise exploit any portion of the Services without NXT PCS's prior written consent.

Nothing in these Terms grants you ownership of any intellectual property belonging to NXT PCS.

18. Feedback

We welcome comments, suggestions, ideas, recommendations, feature requests, and other feedback regarding the Services ("Feedback").

If you provide Feedback, you grant NXT PCS a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, modify, incorporate, reproduce, publish, distribute, and otherwise exploit such Feedback for any lawful purpose without compensation, attribution, or obligation to you.

You acknowledge that providing Feedback is entirely voluntary.

19. Third-Party Services

The Services may integrate with or rely upon third-party products, services, websites, software, payment processors, cloud hosting providers, artificial intelligence providers, employment websites, and other technologies (collectively, "Third-Party Services").

Third-Party Services are operated independently of NXT PCS.

NXT PCS does not own or control Third-Party Services and is not responsible for:

their availability;
their content;
their privacy practices;
their security;
their terms of use;
their accuracy; or
any acts or omissions of the third-party providers.

Your use of Third-Party Services may be subject to separate terms, conditions, and privacy policies established by those providers.

NXT PCS encourages users to review those policies before using Third-Party Services.

20. Suspension and Termination

NXT PCS reserves the right to suspend, restrict, or terminate your account or access to the Services if we reasonably determine that:

you have violated these Terms;
your use of the Services presents a security risk;
your activities are fraudulent, deceptive, abusive, or unlawful;
your conduct threatens the integrity or operation of the Services;
continued access could expose NXT PCS or its users to legal liability; or
suspension or termination is otherwise reasonably necessary to protect NXT PCS, its users, or the public.

Where appropriate, NXT PCS may provide notice and an opportunity to cure before terminating an account; however, we reserve the right to suspend or terminate access immediately when circumstances warrant.

You may terminate your account at any time through your account settings.

Account termination does not entitle you to a refund of any tokens or credits, whether or not redeemed, except as required by applicable law or as expressly provided by NXT PCS.

Any provisions of these Terms that by their nature should survive termination, including provisions relating to intellectual property, limitations of liability, indemnification, dispute resolution, governing law, and any accrued rights or obligations, shall survive termination.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

NXT PCS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF:

MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
QUIET ENJOYMENT; AND
ACCURACY OR RELIABILITY.

WITHOUT LIMITING THE FOREGOING, NXT PCS DOES NOT WARRANT THAT:

THE SERVICES WILL BE UNINTERRUPTED;
THE SERVICES WILL BE ERROR-FREE;
AI OUTPUT WILL BE ACCURATE;
THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
DEFECTS WILL BE CORRECTED;
THE SERVICES WILL ALWAYS BE AVAILABLE; OR
USE OF THE SERVICES WILL RESULT IN EMPLOYMENT, INTERVIEWS, CAREER ADVANCEMENT, OR OTHER PROFESSIONAL SUCCESS.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above disclaimers apply only to the extent permitted by law.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NXT PCS, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

THIS INCLUDES DAMAGES ARISING FROM:

LOST PROFITS;
LOST BUSINESS OPPORTUNITIES;
LOST EMPLOYMENT OPPORTUNITIES;
LOSS OF DATA;
LOSS OF GOODWILL;
BUSINESS INTERRUPTION;
RELIANCE UPON AI OUTPUT;
ERRORS OR OMISSIONS IN AI-GENERATED CONTENT;
THIRD-PARTY SERVICES; OR
UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NXT PCS'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO NXT PCS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS (US $100.00).

THE LIMITATIONS SET FORTH IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Nothing in this Section 22 limits or excludes liability for fraud, willful misconduct, or gross negligence, or for any other liability that cannot be limited or excluded under applicable law.

23. Risk Assumption

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF OUR SERVICES IS AT YOUR SOLE RISK. You are responsible for reviewing, verifying, and approving all AI-generated content, resume information, and career recommendations before use. We disclaim all liability for consequences arising from your use of content generated through our Services.

24. Indemnification

You agree to defend, indemnify, and hold harmless NXT PCS and its officers, directors, members, managers, employees, affiliates, licensors, service providers, successors, assigns, and agents from and against any claims, damages, liabilities, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

your use of the Services;
your User Content;
your violation of these Terms;
your violation of applicable law;
your infringement of any intellectual property, privacy, or other rights of a third party; or
your negligent, fraudulent, or intentional misconduct.

NXT PCS reserves the right to assume the exclusive defense of any matter subject to indemnification at your expense, and you agree to cooperate with our defense of such claims.

25. Governing Law

These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

26. Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY.

IT AFFECTS YOUR LEGAL RIGHTS.

This Section 26 is governed by the Federal Arbitration Act (9 U.S.C. §§ 1–16), which shall govern its interpretation and enforcement, notwithstanding the choice of law provision in Section 25.

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect.

Arbitration shall take place in the State of California unless otherwise agreed by the parties.

The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of these Terms.

Each party shall bear its own attorneys' fees and costs except as otherwise provided by applicable law or by the arbitrator.

Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information pending completion of arbitration.

27. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND NXT PCS AGREE THAT ANY CLAIM SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

YOU WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER COLLECTIVE PROCEEDING.

Unless both parties agree otherwise, the arbitrator may not consolidate multiple claims or preside over any class or representative proceeding.

If this Class Action Waiver is determined to be unenforceable, then this Section shall be severed, and the remaining arbitration provisions shall remain in effect to the fullest extent permitted by law.

Notwithstanding the foregoing, this Class Action Waiver does not apply to any claim for public injunctive relief that cannot be waived as a matter of applicable law. If a court determines that this limitation is unenforceable as to a particular claim or request for relief, that claim or request for relief shall proceed in court, and any remaining claims shall be resolved in arbitration as set forth in Section 26.

28. Miscellaneous

Modifications to These Terms

NXT PCS may revise these Terms from time to time. If we make a material change, we will notify you by email to the address associated with your account prior to, or promptly following, the effective date of the change. Your continued use of the Services after the effective date of a revised version of these Terms constitutes your acceptance of the revised Terms. If you do not agree to a revised version of these Terms, you must discontinue use of the Services.

Entire Agreement

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and NXT PCS regarding the Services.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent.

NXT PCS may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or by operation of law.

Force Majeure

NXT PCS shall not be liable for delays or failures to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, governmental actions, cyberattacks, or failures of third-party service providers.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any provision of these Terms shall be deemed a continuing waiver or a waiver of any other provision.

Electronic Communications

By using the Services, you consent to receive electronic communications from NXT PCS, including notices required by law.

You agree that electronic communications satisfy any legal requirement that communications be in writing.

No Waiver of Government Rights

Nothing in these Terms shall be construed to limit any rights or remedies available to governmental authorities where applicable.
